Terms of Use

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business use only.

Uproach provides tools for businesses to receive, manage, and respond to leads and conversations across WhatsApp, Instagram, Facebook Messenger, and website chat, including AI-assisted replies, appointment booking, and payment collection. We may modify, add, or discontinue features at any time.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and promptly notify us of any unauthorized use. We use third-party authentication and are not liable for losses arising from your failure to safeguard credentials.

You retain ownership of the data you submit or collect through the Service (“Customer Data”), including leads and conversation content. You grant us a limited license to host, process, and transmit Customer Data solely to provide the Service.

You are the controller of End User personal data and are responsible for having a lawful basis and any required consents for collecting and processing it, including for messaging End Users and for any AI processing you enable.

You agree not to use the Service to:

• Send unsolicited, spam, bulk, or unlawful messages, or message any person who has not opted in or has opted out (including respecting WhatsApp opt-in and opt-out requirements).
• Violate the terms, policies, or messaging rules of any connected platform, including the Meta Platform Terms, WhatsApp Business Messaging Policy, and Instagram Platform Policy.
• Transmit content that is illegal, harmful, harassing, deceptive, infringing, or that violates the rights or privacy of others.
• Reverse engineer, interfere with, overload, or attempt to gain unauthorized access to the Service or its systems.
• Use the Service to build a competing product or to scrape or harvest data without authorization.

The Service integrates with third-party platforms (including Meta/Instagram/Facebook/WhatsApp, Stripe, Razorpay, Google, and others). Your use of those integrations is also subject to the third party’s own terms and policies. We are not responsible for third-party services, and access may be changed or terminated by the third party at any time, which may affect the Service.

AI-assisted features generate automated text using third-party models and may produce inaccurate, incomplete, or inappropriate output. You are responsible for reviewing AI-generated content before it is sent and for its use. We make no warranty regarding the accuracy or suitability of AI output.

Paid plans are billed in advance on a recurring basis through our payment processors (Stripe and Razorpay). Unless stated otherwise or required by law, fees are non-refundable and exclusive of applicable taxes, which you are responsible for. We may change pricing on prospective notice. Failure to pay may result in suspension or termination.

The Service, including its software, design, and trademarks, is owned by Uproach and its licensors and is protected by law. Except for the rights expressly granted to you, we reserve all rights. You may not copy, modify, distribute, or create derivative works of the Service except as permitted by these Terms.

Each party may receive confidential information from the other and agrees to use it only to perform under these Terms and to protect it with reasonable care.

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or fail to pay fees. Upon termination, your right to use the Service ceases; provisions that by their nature should survive will survive, including ownership, disclaimers, limitations of liability, and indemnification.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPROACH AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You will indemnify and hold harmless Uproach and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service, your messaging of End Users, or your breach of these Terms or applicable law.

These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The courts at Chennai, India will have exclusive jurisdiction over any dispute, subject to any agreed arbitration. Nothing limits rights you may have under applicable mandatory consumer-protection laws.

We may update these Terms from time to time. We will post the updated version with a revised effective date and, where appropriate, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance.
